Luxembourg court blocks Ardagh from selling stake in metal-packaging arm

The order blocks transactions involving all or part of that interest, a move that could make it harder for the company's new owners to turn one of the group's most valuable businesses into cash.

Who pressed the case

Prompted by a filing from a subset of minority investors who hold ARD Finance SA's senior secured notes - ARD Finance SA being the former parent of Ardagh Group - the judge took action. The backdrop: a group of PIK holders has been contesting the restructuring in Luxembourg, claiming their collateral was unlawfully removed. They lost at first instance and have appealed. They also brought a case over the share pledge appropriation tied to the restructuring, and that litigation is still ongoing.

The takeover that set the stage

Last year, after a lengthy restructuring aimed at addressing more than $7.9 billion in obligations and pushing out near-term maturities, a creditor group that included Arini Capital Management Ltd. and Canyon Capital Advisors LLC took command of Ardagh from Irish billionaire Paul Coulson. In that contest, Ardagh Metal Packaging was among the most coveted assets, meaning curbs on a sale could shape how the new owners seek to extract value.

Ardagh said Wednesday it is "vigorously challenging the order and has made an application for it to be withdrawn." With an appeal over the restructuring underway and a separate case on the share pledge appropriation still pending, timelines remain in flux.
