The transaction still needs to clear standard conditions and obtain regulatory sign offs.

Valuation and structure

Under the agreement, Adani Airport Holdings carries a pre-money valuation near $18 billion. After the third and final tranche, the consortium's stake in the airport company is expected to be about 5.54%. The raise follows Adani Enterprises' qualified institutional placement of 150 billion rupees in July.

Jeet Adani, a non-executive director at Adani Airport Holdings, described the investment as an "important milestone" toward expanding the airports platform, and highlighted continuing investment plans spanning infrastructure, city-side projects, and non‑aeronautical lines. CEO Arun Bansal said the company's goal is to build the world's largest airports platform, citing India's growth trajectory, higher consumer outlays, and plans to broaden its city-side projects. The fresh capital will support upgrades and expansion of airport infrastructure, speed up Adani Airport City projects, and grow passenger focused and other non aeronautical lines, including ground handling. According to the company, these investments should raise total capacity to handle roughly 200 million passengers annually.
