Nscale Seeks Up To $3.5 Billion Ahead of Planned IPO

The fundraising plan

AI-focused cloud operator Nscale is negotiating a pre-IPO haul of up to $3.5 billion, according to people with knowledge of the talks. Goldman Sachs Group Inc. is helping run the process, and Daniel Loeb's Third Point is poised to anchor the convertible-note piece, some of the people said. Beyond the private raise, Bloomberg News has reported the IPO itself could bring in another $3 billion.

One person said the company is targeting a sale of up to $1.5 billion of convertible notes to multiple investors, alongside roughly $2 billion of financing from Nvidia Corp. People noted that discussions remain fluid, with sizes and participants subject to change and no final decisions yet.

How the convertible notes would work

Nscale is pitching the notes to convert at a level equal to the IPO price, less a discount in the double digits, some of the people said. They said the discount would apply until a $30 billion valuation cap, above which the conversion price would stay fixed.

Contracts, chips and expansion

Nscale has been telling investors that its signed contracts add up to about $103 billion, following a $45 billion agreement to supply computing power to Anthropic PBC, some of the people said. The company also said it struck a deal to provide no less than $3.5 billion of compute capacity to robotics startup Figure and invested in the company, and in July agreed to acquire software firm Anyscale in a $1.65 billion transaction. The Information previously reported the overall contracted value.

On the hardware front, most of the chips Nscale is currently running come from Nvidia's Blackwell line, and the company has lined up orders for around 194,000 of Nvidia's Vera Rubin GPUs, Bloomberg News reported. To accommodate the expansion, a major Norway site for Microsoft Corp. is under development by Nscale, with another substantial campus planned in West Virginia.

Who is at the table

On Nscale's board are Sheryl Sandberg and Nick Clegg, both formerly executives at Meta Platforms Inc.; Clegg is a former deputy prime minister of the UK. Asked for comment, Nscale and Goldman Sachs representatives said nothing, while spokespeople for Nvidia and Third Point did not immediately respond.
