Former Goodwin Procter lawyer pleads not guilty in Seraphine insider dealing case

Court appearance and charges

On Friday at Southwark Crown Court, Richard Bloomfield arrived in a blue suit and glasses. He spoke briefly to confirm his name and to enter not guilty pleas to all five counts of insider dealing. The UK Financial Conduct Authority brought the charges, which allege he bought and sold Seraphine Group Plc shares across 2022 and 2023.

Deal backdrop and timeline

Mayfair Equity Partners acquired Seraphine in 2023 for £4.8 million, roughly two years after the maternity wear brand's IPO valued it at more than £150 million. Goodwin Procter advised Mayfair on that 2023 acquisition. Mayfair had previously supported a management buyout in late 2020 and stayed on as a key shareholder after Seraphine's 2021 London listing.

What happened after the buyout

Following the takeover, Seraphine filed for insolvency and its intellectual property and other assets were sold to Next Plc for £600,000. Earlier this year, the FCA said neither Seraphine nor Bloomfield's prior firm were under investigation. Bloomfield's profile on the UK's Law Society website says his practice focused on acquisition, technology and energy matters.
